By accessing or using the xnav.live platform at xnav.live (the "Platform"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms in their entirety, you may not access or use the Platform.
These Terms constitute a legally binding agreement between you and xnav.live ("xnav.live," "we," "us," or "our"). We reserve the right to modify these Terms at any time. Continued use of the Platform following notice of any modification constitutes your acceptance of the revised Terms. Where a change is material, we will provide at least 14 days' advance notice by email or prominent notice on the Platform.
xnav.live provides an intraday estimated net asset value platform ("xNAV") for mutual funds, together with related analytics, attribution data, fund screening tools, and API access (collectively, the "Services"). Services are offered free of charge, with enterprise licensing available as described on our Pricing page.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with or without notice. xnav.live shall not be liable to you or any third party for any modification, suspension, or discontinuation of any Service.
All content on the Platform — including but not limited to xNAV data outputs, software, source code, algorithms, methodologies, platform design, graphics, text, and the xnav.live brand and logo — is the exclusive property of xnav.live or its licensors and is protected by United States and international intellectual property laws, including copyright, trademark, trade secret, and patent laws.
Subject to your compliance with these Terms, xnav.live grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal or internal business purposes. You may not reproduce, distribute, modify, publicly display, create derivative works from, sell, or sublicense any Platform content without our prior written consent. API access is governed by a separate API License Agreement.

Violation of these prohibitions may result in immediate termination of your access to the Platform without notice and may expose you to civil or criminal liability.
THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, xnav.live expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, and accuracy of data.
xnav.live does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. xnav.live does not warrant the accuracy, completeness, timeliness, or reliability of any xNAV data, analytics, or other content. Nothing on the Platform constitutes investment advice, a recommendation to buy or sell any security, or a solicitation of any investment. xnav.live is not a registered investment adviser, broker-dealer, or commodity trading adviser in any jurisdiction.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL XNAV.LIVE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUCCESSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — including without limitation loss of profits, revenues, data, goodwill, business opportunities, or investment losses — arising out of or in connection with your use of or inability to use the Platform or the Services, regardless of the theory of liability and whether or not xnav.live has been advised of the possibility of such damages.
xnav.live's total aggregate liability to you for all claims arising out of or relating to your use of the Platform or the Services shall not exceed the greater of: (a) the total amount paid by you to xnav.live in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain implied warranties or incidental or consequential damages. To the extent such limitations are not permitted, xnav.live's liability is limited to the maximum extent permitted by applicable law.
You agree to indemnify, defend, and hold harmless xnav.live and its officers, directors, employees, agents, licensors, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your access to or use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law, rule, or regulation; (d) any content you submit, post, or transmit through the Platform; or (e) your infringement of any third-party intellectual property or other rights.
xnav.live reserves the right to suspend or terminate your access to the Platform at any time, with or without cause and with or without notice, including for any violation of these Terms. Upon termination, your right to use the Platform ceases immediately.
Sections 3, 4, 6, 7, 8, and 10 of these Terms shall survive any expiration or termination.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively in the state or federal courts of competent jurisdiction located in New York County, New York, and you irrevocably consent to personal jurisdiction and venue in such courts.
Class action waiver: Any claims arising under these Terms must be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You waive your right to a jury trial to the fullest extent permitted by applicable law.
